TERMS & CONDITIONS OF PURCHASE FOR RESIDENTIAL CUSTOMERS (Not for Commercial Use)

PLEASE READ THESE TERMS AND CONDITIONS BEFORE SUBSCRIBING FOR SERVICES.

YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD AND AGREE WITH THESE CONDITIONS NOW AND EVERY TIME YOU USE THE SERVICES, AND YOU ACCEPT ANY REVISED VERSION.

In clicking on the "Continue" button, you are entering into a legally binding agreement with Racing TV Limited to purchase the Services. The contract is conditional on payment being authorised by your card issuer and is at all times subject to these Conditions.

These Subscription Terms contain the terms and conditions relating to your Racing TV residential subscription. 

Racing TV is owned and operated by RMG Operations Limited, a company registered in England & Wales with company number 4809913 and registered office at 71 Queen Victoria Street, London EC4V 4BE. References to “Racing TV”, “we” or “us” in these Subscription Terms shall be read as references to racing TV. 

By accessing and using the Subscription Service you are accepting the terms and conditions of these Subscription Terms. 

In these Subscription Terms, the following capitalised words/terms have the following meanings: 

Address:                                  your home address in the United Kingdom or the Republic of Ireland. 

Channel:                                  the Racing TV channel. 

Connection Fee:                      the fee payable by you in order to connect to the Subscription Service. 

Contract:                                  the contract between you and us in relation to the Subscription Service (comprised of these Subscription Terms, the terms of any Option(s) chosen by you, and if applicable the terms of any Special Offer you are eligible for and have selected) authorising you to receive the Subscription Service for private viewing within the United Kingdom and Republic of Ireland. 

Digibox:                                   an authorised satellite decoder using Sky’s digital conditional access (encryption) system or through Freeview. 

Minimum Term:                        the minimum term of your subscription to the Subscription Service under this Contract which will be a period of twelve (12) months from the date on which you first subscribe to the Subscription Service unless otherwise agreed in the Option(s) chosen by you. 

Option(s):                                any of the purchase or platform options we offer from time to time. 

Sky:                                         British Sky Broadcasting Limited. 

SSSL:                                       Sky Subscribers Services Limited. 

Special Offer:any free period or other promotional offer in relation to the Subscription Service. 

Subscription Payment/s:         the payment/s you must pay us to receive the Subscription Service. 

Subscription Service:              the Racing TV subscription service which allows access to the Channel in accordance with the Option(s) chosen by you. If during the term of this Contract you wish to change your Option(s) and we allow this, the Subscription Service will be the new Option(s) you choose. 

United Kingdom:                     the United Kingdom of Great Britain and Northern Ireland, the Isle of Man and the Channel Islands. 

Viewing Card:                          the card that will allow you to receive the encrypted digital satellite services (such as the Subscription Service) when used with a Digibox. 

Website:                                   www.racingtv.com

Unless otherwise agreed by us in writing, you will be charged for the Subscription Service from the date you are enabled to receive the Subscription Service under this Contract through the Option(s) you have chosen. The supply of the Subscription Service is conditional on our timely receipt of all required Subscription Payments and, if applicable, other fees. 

You must pay us the Connection Fee, if applicable, and the first due Subscription Payment in advance for the Option(s) that you have chosen. For direct debit, debit card, or credit card payments, we will collect the amount due automatically from your account each month (or as otherwise agreed in your Option(s)) after we have enabled your Viewing Card to receive the Subscription Service. 

We may change your Subscription Payment at any time by giving you at least one month’s notice. Your rights to terminate this Contract if we increase your Subscription Payment are set out in section 8(a) below. 

Your Subscription Payment may change if you change your Option(s) and you will be required to pay the then-current price for such new Option(s) from the date you change your Option(s). 

We may also charge any other payment due under this Contract under your direct debit, debit, or credit card instructions together with any other payments which you agree that we may charge under that instruction. 

We may alter your direct debit, debit or credit card instruction if your Subscription Payment changes for any reason. 

We may refuse your application for subscription to the Subscription Service based on the results of an assessment of your credit standing using credit searches. We may use information from, and supply information to, outside agencies for this credit searching. We may from time to time assess your credit standing during your subscription. 

We will notify you reasonably in advance of any change in payment terms. Your right to cancel in the event of certain changes to the payment terms is set out in section 8 below. 

If you have missed any payments you owe to us, we can suspend provision of the Subscription Service without giving you notice. This does not affect our right to end the Contract under section 8 below. 

We can replace or withdraw advertised programmes available on the Channel. We can change, increase or reduce the number of hours of programming available on the Channel. We may encrypt or unencrypt the Channel at any time. We can vary the Channel and vary or withdraw the Option(s) you have chosen. If any such changes are significant and to your detriment, you will have a right to terminate this Contract under section 8 below. 

This Contract does not authorise you to receive any pay-per-view services of any kind. 

We may offer you extra channel(s) as part of the Subscription Service. If any increase in your Subscription Payment would result from the addition of extra channel(s), we will notify you reasonably in advance and you will be able to terminate this Contract as set out in section 8 below. 

We may offer you access to our Club Day events as part of our Subscription Service.  Admission to a Club Day event is subject to the terms and conditions of the relevant racecourse at which the Club Day event is taking place. We reserve the right to refuse you and/or your guest entry into, or remove you and/or your guest from, any of our Club Day events, if we consider that you and/or your guest are participating in unacceptable behaviour, including but not limited to, harassment, threatening behaviour, causing other attendees to fear for their safety and/or any behaviour likely to cause damage, nuisance or injury. 

We do not exclude or limit our liability to you where it would be unlawful to do so. This includes liability for: death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; fraud or fraudulent misrepresentation; or breach of your statutory rights as a consumer in relation to the Subscription Service. 

If defective digital content which we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, we will not be liable for damage which you could have avoided by following our advice to apply an update offered to you free of charge or for damage which was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us. 

Subject always to the paragraphs above in this section 5, we will not be liable under this Contract for: 

·       any fault in a Digibox, television set, online or mobile platform, or device you use; 

·       any fault in your Viewing Card caused by your tampering with it, your negligence, your failure to follow our instructions, or your failure to comply with these Subscription Terms; 

·       use of a Viewing Card with any decoding apparatus we do not authorise; 

·       the ending by you or us of this Contract in accordance with section 8 below; 

·       our failure to provide the Subscription Service caused by events outside our reasonable control; or 

·       any loss or damage caused by us or our employees or agents in circumstances where: (i) there is no breach of a contractual obligation or a legal duty of care owed to you by us or by any of our employees or agents; (ii) such loss or damage is not a reasonably foreseeable result of any such breach; or (iii) such loss or damage results from breach by you of any term of this Contract. 

We supply the Subscription Service to you for domestic and private use only. If you use the Subscription Service for any commercial, business or re-sale purpose (which you are not permitted to do), we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity. 

a)     By subscribing to the Subscription Service, you confirm to us that: 

·       you are at least 18 years of age and are fully able and competent to enter into this Contract and abide by and comply with these Subscription Terms; 

·       all information provided by you to us (including during account registration) is true, accurate and up to date in all respects; and 

·       you will comply with the terms and conditions of the Contract in connection with your use of the Subscription Service. 

b)     You may not do any of the following:

·       copy, redistribute or relay the Channel or any part of it or otherwise deal with the Channel or any part of it except as expressly permitted in this Contract; 

·       produce, supply or otherwise exploit any programme, service or content (whether audio or audio-visual or otherwise) using the Channel or any part of it or otherwise use any part of the Channel for any commercial purpose whatsoever; 

·       sell or make any charge for watching the Channel or any part of it; 

·       show the Channel in any business premises (including, without limitation a public house, office, club, hotel, guest house, or similar premises) or in public to an audience even if no charge is made, or otherwise use the Subscription Service or any part of it other than to view the Channel in private for non-commercial purposes at your Address in the United Kingdom or Republic of Ireland only; 

·       show the Channel in any licensed betting shop, bookmaker shop, or other venue where bets are taken in any territory; 

·       directly or indirectly use or permit the Channel to be used by any person for the purpose of or in connection with any betting operation or producing so-called "off-tube" commentary; or 

·       act in a way towards our staff or agents which we reasonably consider to be inappropriate. 

Any breach by you of this section 6 will be considered a serious breach of the Contract. 

We may disable or remotely alter certain functions of your Digibox so as to prevent you from copying the Channel and we may prevent you from receiving the Channel if your Digibox allows copying of the Channel which we are bound by contract to prevent. 

We may change these Subscription Terms from time to time to ensure that we remain compliant with relevant laws and regulations and/or to reflect changes in the Subscription Service and/or our business practices and policies. If such changes are material, we will give reasonable prior notice of any such changes. We will not use this right to vary the terms of any special offer which applies to you, and which you have accepted during the term of the offer. 

Your rights to terminate this Contract if we make any material change to the Subscription Terms to your detriment and to which you do not agree are set out in section 8 below. 

Unless this Contract is ended in accordance with the paragraphs below, this Contract will stay in force for at least the Minimum Term.  

a)     Your termination rights: You can terminate this Contract at any time (including during the Minimum Term) if: 

·       we reduce or significantly vary (to your detriment) the total amount of programmes available on the Channel within your Option(s); 

·       we vary the level of service of your chosen Option(s) and this amounts to a significant reduction in the Subscription Service provided; 

·       we increase your Subscription Payments; 

·       we materially change these Subscription Terms to your detriment and you do not agree to the change; or 

·       we materially breach these Subscription Terms. 

If you terminate for any of the reasons in this section 8(a) we will refund to you a pro-rata amount of any pre-paid Subscription Payment in respect of the period after the date of termination. 

b)     Once the Minimum Term has expired, you may end the Contract by giving us a minimum of one month’s notice in writing or by telephone. 

c)     Our termination rights: If you breach any of the terms or conditions of this Contract, we can immediately terminate the Contract at any time (including during the Minimum Term). We can also terminate this Contract at any time (including during the Minimum Term) if we cease to broadcast, distribute or otherwise supply the Channel for any reason. If we do this we will refund to you a pro-rata amount of any pre-paid Subscription Payment in respect of the period after the date of termination. 

d)     Except where you breach any of the terms or conditions of this Contract, or where we cease to broadcast, distribute or otherwise supply any Channel for any reason, we will not terminate this Contract during the Minimum Term. We may during that period and later vary this Contract and the Subscription Service in the ways described in this Contract. We may terminate this Contract after the Minimum Term by giving you two months’ notice. 

e)     If you or we end this Contract, we will block the entitlement to the Subscription Service on your Viewing Card and you will not be able to receive the Subscription Service. 

f)      We will not refund any Subscription Payments or other payments made under this Contract if we end this Contract because you have breached this Contract. If during the Minimum Term you end this Contract (other than when you have a right to do so as set out in section 8(a) above) or we end it because you have breached the Contract, you agree to compensate RMG for any reasonable loss or costs we suffer as a result, which loss or costs will include without limitation all Subscription Payments payable by you to RMG for the full Minimum Term. 

g)     The Connection Fee is non-refundable if the Contract is terminated in accordance with the paragraphs above. 

NB: When the Contract ends for any of the reasons set out above, you will no longer receive the Channel either on television or online regardless of whether you have paid annually in advance. 

Information about the statutory right to cancel: Under certain conditions, UK consumers have a statutory right to change their mind and cancel a contract within a cancellation period which runs for 14 days after the date on which the contract is formed. However, when you subscribe to the Subscription Service (whether by phone or online), you will be asked to consent to your Subscription Service access starting immediately, and to acknowledge that you will not then be able to exercise the statutory right to cancel the Contract. 

You may not transfer your rights or obligations under this Contract to anyone else. We can transfer some or all of our rights or obligations under this Contract to another person, firm or company but only if this transfer does not affect the Subscription Service or any of your rights under this Contract in a negative way. 

If you give us a notice that is required under this Contract it must be in writing or by telephone – see our Contact Us page at racingtv.com/contact. 

If we give notice to you, for example to let you know about changes to any of the Terms and Conditions, changes to your Subscription Payment, updates to the Channel, and/or some other matter relevant to you under this Contract and requiring notice, we will do so by either notifying you via the Website, on your next account login, and/or by email to your registered email address.

Your Viewing Card acts as a key so that you can unlock (unencrypt) the Subscription Service. Having the Viewing Card does not mean you own the Viewing Card and does not mean you have the right to receive the Subscription Service. The Viewing Card remains the property of SSSL. If RMG or SSSL asks you to, you must return the Viewing Card after the Contract comes to an end or, if RMG or SSSL requires you, to return it when it sends you a replacement. 

Only you may use the Viewing Card which RMG or SSSL sends you. You can use the Viewing Card at your Address only with the Digibox in which it is first used to receive the Subscription Service and you must use it for private viewing purposes only. Your right to use the Viewing Card is subject to your compliance with this Contract. 

If you give the Viewing Card to anybody else, RMG or SSSL can make it invalid and/or terminate this Contract and the receipt of the Channel via the Viewing Card. 

You must not tamper with the Viewing Card or Digibox or use it for any purposes that RMG or SSSL does not authorise. 

In order to continue to receive the Subscription Service without interruption, your Viewing Card must be kept in your Digibox at all times and you will need to keep the Digibox connected to a mains supply and suitable satellite dish and in standby mode when not in use. You must allow RMG or SSSL to update the software in your Digibox by sending additional signals via satellite to your Digibox – if you do not allow this, you may not be able to receive the Subscription Service. The software in your Digibox remains SSSL’s property. 

RMG and SSSL are entitled to disclose your name, Address, and the Subscription Service you receive via the Viewing Card as part of the proper administration of the digital satellite system. 

Your Viewing Card must not be used outside the country (either the United Kingdom or the Republic of Ireland) it was supplied for use in and any change of Address must be notified to RMG and SSSL immediately. 

This Contract is governed by the laws of England and Wales. Any dispute can be dealt with by the courts in England and Wales. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland, you may also bring proceedings in Northern Ireland. 

Each of the terms and conditions of this Contract operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining terms and conditions will remain in full force and effect. 

Even if we delay in enforcing this Contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under this Contract, or if we delay in taking steps against you in respect of your breaching this Contract, that will not mean that you do not have to do those things, and it will not prevent us taking steps against you at a later date. 

We are Racing TV Limited,. a company registered in England & Wales with company number 4809913, and its registered office at 10th Floor, Met Building, 22 Percy St, London W1T 2BU (“Racing TV”). Reference to “Racing TV”, “we” or “us” in this Contract shall be read as references to Racing TV. You can contact us at the above address or at Racing TV, PO Box 26853, Kirkcaldy KY2 9BG, or call in the United Kingdom, 0344 855 2977 and in the Republic of Ireland, 0818 776 700.

Address: your home address in the United Kingdom or the Republic of Ireland. Channel: the Racing TV channel. Conditions: the conditions in this Contract set out below and any changes we may make to them in accordance with this Contract. Contract: this contract (including the terms of any Option chosen by you), authorising you to receive the Service for private viewing within the United Kingdom and Republic of Ireland. Digibox: an authorised satellite decoder using Sky’s digital conditional access (encryption) system [or through Freeview]. Service: The Day Pass service which allows access to the Channel from time of purchase (after 4.00am) until 23.59 on the same day. Option(s): any of the purchase or platform options we offer from time to time. Service: the Option(s) chosen by you. Sky: British Sky Broadcasting Limited. SSSL: Sky Subscribers Services Limited. Payment: the payment you must pay us to provide the Service. United Kingdom: the United Kingdom of Great Britain and Northern Ireland, the Isle of Man and the Channel Islands. Viewing Card: the card that will allow you to receive the encrypted digital satellite services (such as the Service) when used with a Digibox.

(a) Unless otherwise agreed you will be charged for the Service on the date you are enabled to receive the Service under this Contract through the Option(s) you have chosen.

(b) You must pay us the Payment in advance for the Service via Credit Card. We will collect the amount due automatically from your account (or as otherwise agreed in your Option) before we have enabled your Viewing Card to receive the Service.

(c) We may refuse your application for the Service based on the results of an assessment of your credit standing using credit searches. We may use information from, and supply information to, outside agencies for this credit searching.

(d) If you have missed any payments you owe to us, we can refuse provision of the Service without giving you notice.

(a) We can replace or withdraw advertised programmes. We can change, increase or reduce the number of hours of the Channel. We may encrypt or unencrypt the Channel at any time. (b) We can vary the Channel and vary or withdraw the Option you have chosen.

We will not be liable under this Contract for:

(a) any fault in a Digibox or television set or online or mobile platform or device you use;

(b) any fault in your Viewing Card caused by your tampering with it, your negligence or failure to follow our instructions or these conditions;

(c) use of a Viewing Card with any decoding apparatus we do not authorise;

(d) our failure to provide the Service caused by events outside our reasonable control; and

(e) any loss or damage caused by us or our employees or agents in circumstances where:

(i) there is no breach of a contractual obligation or a legal duty of care owed to you by us or by any of our employees or agents;

(ii) such loss or damage is not a reasonably foreseeable result of any such breach; or

(iii) such loss or damage results from breach by you of any term of this Contract.

(a) You must not do any of the following:-

(2) Produce, supply or otherwise exploit any programme, service or content (whether audio or audio-visual or otherwise) using the Channel or any part of it or otherwise use any part of the Channel for any commercial purpose whatsoever;

(3) Sell or make any charge for watching the Channel or any part thereof;

(4) Show the Channel in any business premises (including, without limitation a public house, office, club, hotel, guest house, or similar premises) or show the Channel in public to an audience even if no charge is made, or otherwise use the Service or any part thereof other than to view the Channel in private for non-commercial purposes at your Address in the United Kingdom or Republic of Ireland:

(5) Show the Channel in any licensed betting shop, bookmaker shop or other venue where bets are taken in any territory ; or

(6) directly or indirectly use or permit the Channel to be used by any person for the purpose of or in connection with any betting operation or producing so-called "off-tube" commentary.

(b) Any of the foregoing will be considered a material and serious breach of the Conditions

(c) We may disable or alter remotely certain functions of your Digibox so as to prevent you from copying the Channel and we may prevent you from receiving the Channel if your Digibox allows copying of the Channel which we are bound by contract to prevent.

You may not transfer your rights or obligations under this Contract to anyone else. We can transfer some or all of our rights or obligations to another person firm or company if this transfer does not affect the Service in a negative way.

To allow you to receive the Service it is necessary for us to use and share the personal details you provide us. Where you have given us your consent we may use and share data for marketing and research purposes and we may pass such information to companies other than those set out above. You also agree that we may use and pass information to other companies for use in making credit decisions, for fraud prevention and to pursue from you any sums owing by you to us under this Contract.

(a) Your Viewing Card acts as a key so that you can unlock (unencrypt) the Service. Having the Viewing Card does not mean you have a right to own the Viewing Card after it is sent to you and does not mean you have the right to receive the Service. The Viewing Card remains the property of SSSL. If Racing TV or SSSL asks you to, you must return the Viewing Card after the Contract comes to an end or if Racing TV or SSSL requires you, to return it when it sends you a replacement.

(b) Only you may use the Viewing Card which Racing TV or SSSL sends you. You can use the Viewing Card at your Address only with the Digibox in which it is first used to receive the Service and you must use it for private viewing purposes only. You must comply with the Conditions set out in Clause 6(a).

(c) If you give the Viewing Card to anybody else Racing TV or SSSL can make it invalid and/or terminate the receipt of the Channel.

(d) You must not tamper with the Viewing Card or Digibox or use it for anything that Racing TV or SSSL do not authorise.

(e) In order to continue to receive the Service without interruption your Viewing Card must be kept in your Digibox at all times and you will need to keep the Digibox connected to a mains supply and suitable satellite dish and in standby mode when not in use. You must allow Racing TV or SSSL to update the software in your Digibox by sending additional signals via satellite to your Digibox. The software in your Digibox remains SSSL’s property.

(f) Racing TV and SSSL shall be entitled to disclose your name address and the Services you receive via the Viewing Card as part of the proper administration of the digital satellite system.

(g) Your Viewing Card must not be used outside the country (either the United Kingdom or the Republic of Ireland) it was supplied for use in and any change of Address must be notified to Racing TV and SSSL immediately.

(a) This Contract is governed by the laws of England. Any dispute can be dealt with by the courts in England and Wales.

(b) This Contract only applies if your Address is in either the United Kingdom or the Republic of Ireland. If you move home from the United Kingdom to the Republic of Ireland you will not be entitled to receive the Channel.
